General

The Dukaan platform (the "Platform"), operated by Growthpond Technology Private Limited (the "Company", "we", "us"), is a marketplace technology that enables merchants to list and sell products and services to buyers. By accessing or using the Platform you ("User") agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Platform.

Amendment

The Company reserves the right to modify or amend these Terms at any time. Any changes will be effective when published on the Platform. Your continued use of the Platform after such publication constitutes acceptance of the revised Terms.

Definitions

• Affiliate means any entity that controls, is controlled by, or is under common control with a party.
• Authority means any statutory, regulatory or governmental body of competent jurisdiction.
• Information means any content, data or material made available on or through the Platform.
• Services means the marketplace, tools and features made available through the Platform.

Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Platform. By using the Platform you represent and warrant that you meet these requirements.

Registration

To access certain features you must create an account with a username and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.

User information

You agree to provide accurate, current and complete information and to keep it updated. The Company is not responsible for verifying the authenticity of information provided by Users and disclaims any liability arising from inaccurate information.

Electronic communication

By using the Platform, you consent to receive communications from us electronically, including via SMS, email and in-app notifications, and agree that all agreements, notices and disclosures provided electronically satisfy any legal requirement that such communications be in writing.

General terms

The Company acts solely as a facilitator. Any contract for the sale of products or services is strictly a bilateral contract between the merchant and the buyer. The Company is not responsible for any non-performance or breach of any contract entered into between Users, nor for the quality, safety, legality or delivery of any product or service listed on the Platform.

Merchant terms

Merchants must provide accurate product descriptions, pricing and availability, and may not list banned, illegal, counterfeit or restricted items. Product prices and the fulfilment of orders are solely the responsibility of the merchant. The Company may suspend or remove listings and accounts that violate these Terms.

User obligations

You agree not to upload, post or transmit content that is illegal, harmful, obscene, defamatory, infringing or otherwise objectionable. Prohibited activities include hacking, data scraping, spamming, harassment, distributing malware, unauthorised access, and any commercial solicitation not expressly permitted.

Action

The Company may, at its sole discretion and without prior notice, suspend or terminate your access to the Platform for any violation of these Terms or any applicable law.

No endorsement

The Company does not endorse any merchant, buyer, product or service available on the Platform and makes no representations or warranties regarding them.

Disclaimers

The Platform and all Information are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. The Company disclaims all liability for the accuracy of Information, the conduct of third parties, and any direct, indirect, incidental or consequential damages arising out of your use of the Platform.

Intellectual property

All intellectual property in the Platform, including its software, interface, design and branding — including the "Dukaan" trademark — is owned by or licensed to the Company. You may not copy, modify, distribute or attack the Company's trademarks or intellectual property.

Governing law

These Terms are governed by the laws of India. The courts at the Company's registered office shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
